Welcome to GameReadyX. These Terms of Service ("Terms") constitute a legally binding agreement between you and ApexVenturesX LLC ("Company", "we", "our", "us") governing your access to and use of the GameReadyX mobile and web application (the "App") and the website at gamereadyx.com (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
GameReadyX is a team management platform for youth sports coaches, parents, and players. The Service provides features including roster management, scheduling, announcements, play design, depth charts, practice planning, AI coaching assistance, calendar sync, and team communication tools.
The Service is available via web browser and as a mobile application. Feature availability may vary by platform and subscription tier.
You must be at least 18 years of age to create a GameReadyX account. By creating an account, you represent and warrant that you are at least 18 years old.
The Service is designed for use by coaches and parents/guardians (adults). Player profiles are created and managed by coaches or parents on behalf of the player. Children under 13 may not create accounts or directly submit personal information to the Service.
If you are between the ages of 13 and 17, a parent or legal guardian must create and manage the account on your behalf and agrees to be bound by these Terms. The parent or guardian is responsible for the minor's use of the Service.

To use the Service, you must create an account with accurate, current, and complete information. You agree to update your information as necessary to keep it accurate.

We reserve the right to suspend or terminate accounts that contain inaccurate information, are used in violation of these Terms, or have been inactive for more than 12 months.

Paid subscriptions are billed through Stripe. By subscribing to a paid plan, you authorize recurring charges to your payment method at the applicable rate. Monthly plans are billed on the same day each month. Annual plans are billed once per year.
If a payment fails, we may retry the charge and/or suspend access to paid features until payment is resolved. You are responsible for ensuring your payment method is current and valid.
We may offer free trials or promotional discount codes from time to time. Promotional codes are subject to specific terms disclosed at the time of the offer, are non-transferable, and may not be combined with other offers unless stated otherwise.
You may cancel your subscription at any time through the App or by contacting us. Upon cancellation:

Refund requests are reviewed on a case-by-case basis. We reserve the right to grant or deny refunds at our discretion.
We may change subscription prices with at least 30 days' written notice via email or in-app notification. Price changes take effect at the start of your next billing period after the notice period. If you do not agree with a price change, you may cancel your subscription before the new price takes effect.
You agree to use the Service only for its intended purpose of youth sports team management. You agree not to:
We reserve the right to investigate and take appropriate action against anyone who violates these rules, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.
You retain full ownership of all content and data you enter into the Service, including but not limited to roster data, play designs, schedules, announcements, and team information ("User Content").
By using the Service, you grant ApexVenturesX LLC a limited, non-exclusive, royalty-free, worldwide license to store, process, display, and transmit your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or your account.

The Service allows coaches to compose SMS messages to parent/guardian phone numbers stored in the team roster using the device's native messaging application. Coaches are responsible for ensuring they have consent from recipients before sending messages.
Recipients may ask the coach to remove their phone number from the roster at any time. Standard message and data rates may apply. GameReadyX is not responsible for SMS delivery failures caused by carrier issues, incorrect phone numbers, or the recipient's device settings.
The Service includes an AI-powered coaching assistant powered by third-party artificial intelligence models. By using the AI assistant, you acknowledge and agree that:
The Service, including its design, source code, graphics, logos, icons, user interface, features, and documentation, is the property of ApexVenturesX LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.
The GameReadyX name, logo, and related marks are trademarks of ApexVenturesX LLC. You may not use our trademarks without our prior written permission.
You may not copy, modify, distribute, sell, lease, reverse-engineer, decompile, or create derivative works based on the Service or any part thereof without our express written permission.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
You use the Service at your own risk. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APEXVENTURESX LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO:
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO GAMEREADYX IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow limitations on incidental or consequential damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless ApexVenturesX LLC, its owners, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
You may close your account and stop using the Service at any time. To delete your account, contact us at support@gamereadyx.com. If you have an active paid subscription, cancellation and refund terms in Section 4 apply.
We may suspend or terminate your account, with or without notice, if:
Upon termination, your right to use the Service ceases immediately. We will delete your personal data within 30 days of account deletion, subject to legal retention requirements. Provisions that by their nature should survive termination -- including disclaimers, limitations of liability, indemnification, intellectual property rights, and dispute resolution -- shall survive.
Before filing any formal dispute, you agree to first contact us at support@gamereadyx.com and attempt to resolve the dispute informally for at least 30 days.
If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in the State of California. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims related to intellectual property infringement or unauthorized access to the Service.
Either party may bring a qualifying claim in small claims court in the State of California as an alternative to arbitration.
These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of California.
The Service integrates with third-party services including Supabase, Firebase, Stripe, and Anthropic. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices, content, or availability of third-party services.
The Service may contain links to third-party websites or resources. We are not responsible for the content or practices of any linked third-party sites.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
We may update these Terms from time to time. When we make material changes, we will:
Continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and may cancel your account.
